Terms and Conditions for Online Advertising
1) In these terms and conditions, ‘Advertiser’ refers to the party booking the advertising space, including Independent Media Buyers and Advertising Agents. For the purpose of these terms and conditions, Independent Media Buyers and Advertising Agents shall act as principals on their own behalf for all purposes associated herewith. ‘Contract’ refers to a legally binding booking accepted by Cayman4rent.ky for publication of an Advertisement. ‘Copy’ refers to all materials supplied by an Advertiser with the intention that such materials should appear on Cayman4rent.ky’s online property. ‘Advertisement’ refers to advertising messages to be shown on Cayman4rent.ky’s website, e-mail or otherwise. ‘Cancellation’ of a contract refers the cancellation of either all or a portion of the remaining unperformed tasks under the contract unless the context of the relevant condition makes it clear that cancellation of only a specific insertion(s) is referred to.
2) Issuance of rate information to Advertiser does not constitute an offer by Cayman4rent.ky to engage in a contract. A contract is only made through Cayman4rent.ky’s acceptance of Advertiser’s order as a consequence of Cayman4rent.ky issuing and receiving an insertion order that is signed.
3) All contracts are under conditions specified herein and no modification thereto shall be effective unless explicitly and specifically agreed to in writing by Cayman4rent.ky.
4) All advertisement rates are subject to change at any time. Cayman4rent.ky is only bound to the price at the time the contract is made with regard to the booking agreed upon as confirmed by the insertion order.
5) Full details of the product to be advertised, along with related special offers and competitions shall be submitted by the Advertiser to Cayman4rent.ky in writing at the time the order is negotiated.
6) The Advertiser is responsible for checking the correctness of the Advertisement. All Advertisements submitted for publication shall comply with all applicable legislation, regulation, laws and codes of practice and shall not infringe on another party’s rights. Thus, the Advertiser grants Cayman4rent.ky a worldwide non-exclusive, fully paid license to reproduce and show the Advertisement (including all trademarks, brand features, and other content contained therein).
7) The Advertiser shall fully pay Cayman4rent.ky for all expenses, damages, costs, or liability whatsoever (including all legal costs and actions ordered against Cayman4rent.ky) with regard to any claim made against Cayman4rent.ky resulting from an Advertisement or its publication because of the Advertiser’s breach, non-performance or non-compliance with any of the warranties, representations stated herein or implied by the law.
8) The Advertiser grants Cayman4rent.ky the right to reproduce throughout the world screenshots of all or part of Cayman4rent.ky’s property, which may contain all or part of advertising materials the Advertiser supplies Cayman4rent.ky., as well as in any promotional or advertising campaign or material that promotes Cayman4rent.ky.
9) Cayman4rent.ky has the right of absolute discretion, and therefore to cancel any contract or to suspend or omit an Advertisement (for instance, if it is unlawful, defamatory, libellous, pornographic, insensitive, or otherwise against editorial policy). Should the cancellation, suspension or omission of the Advertiser be due to the act of the Advertiser, agents, servants or representatives, the Advertiser shall pay Cayman4rent.ky in full for the space reserved for the Advertisement. The Advertiser shall be notified by Cayman4rent.ky regarding such cancellation, suspension or omission as soon as possible.
10) All contents submitted by the Advertiser are subject to the approval of Cayman4rent.ky. Cayman4rent.ky has the right to cancel or reject an Advertisement, URL link, order, position commitment, or space reservation from any party. Cayman4rent.ky also has the right to remove any Advertisement from any of its properties or pages.
11) Positioning of Advertisements on any of Cayman4rent.ky’s properties is the sole discretion of Cayman4rent.ky except otherwise specifically provided. Cayman4rent.ky shall also not be prohibited from placing Advertisements for any product, service or business that competes with the Advertiser.
12) Cayman4rent.ky shall handle the publishing of Advertisements with proper care and skill. However, if the Advertisement is somehow not published in the manner specified by the contract, whether through technical reasons or negligence on Cayman4rent.ky’s part, Cayman4rent.ky’s liability shall be limited to: (a) publishing the Advertisement as soon as reasonably possible for a period of time necessary to generate a number of substitute impressions equal to the shortfall; or (b) refund the exact amount which relate to such Advertisements not provided or, in the case where the Advertiser hasn’t still paid for such Advertisements, Cayman4rent.ky shall agree that such amounts will not be payable. Cayman4rent.ky will not be liable for any indirect damage or loss resulting from the failure to publish any Advertisement as agreed upon with the Advertiser, including but not limited to, any incorrect or late publication, any inaccurate reproduction or non-publication of such Advertisement, whether caused by Cayman4rent.ky’s technical issues, negligence or any reason whatsoever. Cayman4rent.ky shall not be liable whatsoever with regard to the omission or any error with the publishing of the Advertisement, which the Advertiser failed to notify Cayman4rent.ky within the year of the Advertisement’s actual publication date.
13) Advertiser must supply Cayman4rent.ky with the copy by the last day of receiving as stated by Cayman4rent.ky. Failing this, Cayman4rent.ky cannot guarantee that corrections will be made or proofs supplied. Advertiser must supply copies to Cayman4rent.ky in the following terms:
a) All Gif or 3rd party served creatives must be supplied two (2) working days prior to the agreed date of publication.
b) Rich media creatives must be sent five (5) working days prior to the agreed date of publication.
c) Content (including but not limited to trademarks and logos) for inclusion in creatives to be generated by Cayman4rent.ky must be sent two (2) weeks prior to the agreed date of publication.
d) For pages of content generated by Cayman4rent.ky, Cayman4rent.ky offers a maximum of two (2) modifications between receipt of the insertion order and publication. Cayman4rent.ky shall charge the Advertiser for any further modifications.
14) All ad tags/creatives must be received by Cayman4rent.ky from the Advertiser on the last working day prior to the agreed date of publication. Any Advertisement received after this agreed time shall have impressions deducted on a daily basis from the booked total for each day the Advertisement is late. A day is equal to midday of one day to the midday of the next. For example, if Cayman4rent.ky receives an Advertisement at 1:00 PM on the agreed publication date, the Advertiser is charged a worth of 2 days’ penalty. Cayman4rent.ky shall not allocate no extra days to the campaign. Any Insertion Order sign off that need start and/or end dates amended shall have up to five (5) working days prior to the campaign start date to do so. The end date cannot be moved forward when a campaign has already started unless agreed to by Cayman4rent.ky. If Cayman4rent.ky fails to receive copy instructions by the last day for receiving copy, Cayman4rent.ky has the right of absolute discretion with regard to repeating Advertiser’s existing copy, which Cayman4rent.ky possesses. In the case where Cayman4rent.ky does not have any copy, it has the right to omit the Advertisement and charge Advertiser for such space reserved.
15) For all copies supplied by the Advertiser, the Advertiser must comply with specifications stated by Cayman4rent.ky. If the Advertiser’s materials do not adhere to such specifications, Cayman4rent.ky has the right of absolute discretion to reject such copies and the Advertiser shall be asked to supply materials again. If, due to time or other reasonable challenges, Cayman4rent.ky has to modify or correct the file, Cayman4rent.ky may notify the Advertiser and shall not be liable for any inaccurate reproduction of the Advertisement or any costs directly or indirectly resulting from such an event.
16) Any materials from the Advertiser, including originals, mechanicals, positives, artwork, type, etc. are held by Cayman4rent.ky at the Advertiser’s risk and should be insured by the Advertiser against damage or loss from any cause. Once the contract is performed, the Advertiser is responsible for collecting all such materials. Failure to do this shall grant Cayman4rent.ky the right to destroy all materials which has been in its possession for more than six (6) months without any liability attached to Cayman4rent.ky with regard to such destruction.
17) Cayman4rent.ky has no obligation to supply the Advertiser screenshots, and their absence shall not affect in any way the Advertiser’s liability to charges agreed upon.
Terms of Payment
1) Unless otherwise specifically stated by Cayman4rent.ky, payment is due to be received from the Advertiser by the end of the month following the date of invoice. In the case where the Advertiser defaults in paying any sums by such due date, Cayman4rent.ky has the right to require immediate payment for all advertising space the Advertiser booked. Failure to comply with this entitles Cayman4rent.ky to terminate the contract forthwith through written notice to the Advertiser. Cayman4rent.ky also has the right to require payment in advance for future bookings, and pending such payment, to suspend or omit all or any Advertisements scheduled to appear under an existing contract with the Advertiser. Cayman4rent.ky has the right to impose a surcharge or 3% monthly on overdue amounts.
2) The Advertiser will not set-off or claim to set-off for any reason whatsoever any amount whether in dispute or agreed upon which may be payable by Cayman4rent.ky to the Advertiser against any amount whatsoever payable by the Advertiser to Cayman4rent.ky.
3) The Advertiser explicitly acknowledges that they have not relied on any representation made by or on behalf of Cayman4rent.ky in entering the contract.
4) No entity who is not a party to this contract has any right to enforce any part of this contract.
Miscellaneous
This contract and the outcome of any disagreement associated to the Terms of Use of Cayman4rent.ky shall be dominated by and interpreted using the laws of the Cayman Islands, without providing effect to any rule of disagreements of law. In case Cayman4rent.ky fails or its associates fail to maintain firm enforcement of any condition of this Terms of Use shall not be interpreted as a waiver of any condition or entitlement.
You, as a user of this website, agree that despite any law or decree to the opposite, any demand or reason of action occuring from or associated to the use of Cayman4rent.ky website or its Terms of Use must be reported within one (1) year after its occurrence or be forever banned.
Cayman4rent.ky services, products and logos are trademarks licensed to Cayman4rent.ky and its associates. You agree not to use services, products and logos indicated herein without prior written consent of Cayman4rent.ky. All other trademarks are owned by their respective proprietor.
Full Agreement
These rules, guidelines, terms, policies and the Terms of Use in general comprise the sole agreement between Cayman4Rent.ky and you concerning this website, and replace any previos arrangements between Cayman4rent.ky and you concerning this Site.
